§ CONSTITUTION OF THE TAIWAN EPILEPSY SOCIETY §

Chapter 1: General Principles
Section 1 This organization shall be known as the TAIWAN EPILEPSY SOCIETY, hereafter referred to as the "Society". The Society shall be a completely academic
community.
Section 2 The main objectives of the Society are to foster and promote the development of and research in the field of epilepsy, to improve the medical and
social care of people with epilepsy and to establish and maintain effective cooperation of all persons with similar interests related to epilepsies.
The Society is an incorporated, non-profit organization constituted in accordance with the law.
Section 3 The Headquarters of the Society shall be located in the same place as the Central Government. The Society must obtain the
approval of the Ministry of the Interior before establishing its office.
Chapter 2: Functions
Section 4 The main functions of the Society shall be as follows:
1) To foster and promote the development of and reserach in the field of epilepsy.
2) To improve the medical and social care of people with epilepsy.
3) To issue publications and handbooks concerning epilepsies.
4) To organize or to sponsor congresses, symposia or other meetings relating to epilepsy.
5) To facilitate communication and cooperation among groups with similar interests both nationally and internationally.
Chapter 3: Membership
Section 5 There are five kinds of membership in our Societ:bona fide member , probationary member , associate member , honorary member and
international member.
1) Provided that he is a citizen of the Republic of China , over Twenty years of age , certified by the Republic of China’s Medical Board as a medical practitioner ,
who supports the objectives of the Society , and is also certified as a pediatric Neurosurgeon , or is on the teaching staff of domestic or foreign
Accredited colleges or universities working in the field of epilepsy , who is recommended by two bona fide member of the Society and
after being examined and approved by the Board of Director , he is finally qualified to become a bona fide member of this Society.
2) Provided that he is a citizen of the Republic of China ,over twenty years of age ,certified by the Republic of China’s Medical Board as a medical practitioner ,
who supports the objectives of the Society ,and who is recommended by two bona fide members of the Society , and after being approved
by the Board of Director , he can then qualify as a probationary member.
3) Provided that he supports the objectives of the Society ,and who in fact practices medical treatment of patients ,who serves epileptic patients ,
or who supports the Society as an organization, or individual member of the Society, after being recommended by two bona fide members of the Society,
and has been passed and approved by the Board of Directors, can become this Society’s associate member.
4) Provided that he is either a foreign or domestic medical practitioner, who has made a significant contribution to the Society,
and who is nominated by the Board of Directors with at least a two thirds majority vote of the bona fide members present at the General Assembly,
can be this Society’s honorary member.
5) Provided that he is not a citizen of the Republic of China, who is over twenty years of age, who is working in the field of care for epileptic patients,
after being recommended by more than two bona fide members of the Society, after being passed and approved by the Board of Directors,
is qualified to become an international member of this Society.
Section 6 Privileges of bona fide members:
1) The right to speak and vote.
2) The right to elect, recall and be elected.
3) The right to participate in all the activities of the Society.
4) The right to seek assistance from the Society.
Section 7 Privileges of associate members, subsidiary members and honorary members:
1) The right to speak.
2) The right to participate in all the activities of the Society.
3) The right to seek assistance from the Society.
Section 8 the duties of the members of our Society, of our probationary members, of our associate members, of our honorary
members and of our international members are listed below:
1) He must observe the rule and regulations of our Society, as well as the decisions reached with regard to each medical case.
2) Members, probationary members, associate members and international.
3) Members, must pay their membership subscription according to the stipulated time.
4) He must accept the medical duties appointed for him by the Society.
5) He must agree to accept the tasks entrusted to him by our Society.
Section 9 members, probationary members, associate members, honorary members and international members, should something exceptional happen to them,
and after case has been submitted to and passed by the Board of Directors, and with a two-third majority of all the members of the Society
in the General Assembly, shall be stripped of their membership. But if the motivation for this deprivation of membership should no longer exist,
then they are entitled for re-application of membership.
Chapter 4: Organization
Section 10 The highest body of the Society shall be the General Assembly which is held annually. The Board of Directors shall act to
conduct the day-to-day affairs of the Society under the supervision of the Board of Supervisors.
Section 11 Privileges of the General Assembly:
1) To ratify and/or amend the Constitution.
2) To elect or to recall Directors and Supervisors.
3) To set the amount of dues including the initiation fee and annual fee and to approve professional incomes and donations.
4) To review and to approve projects; the reports of the Secretary-General and Chairpersons of Commissions; the budget
for the following fiscal year and the final report of the Treasurer.
5) To vote on the act of revocation of membership.
6) To propose and to dispose of the assets of the Society.
7) To ratify the dissolution of the Society.
8) To resolve events concerning the privileges and obligations of the members.
Section 12 The Board of Directors shall consist of nine Directors and three Alternate Directors, to be elected by the General Assembly.
Three Executive Directors shall be elected by the Directors from their ranks. One of the Executive Directors shall
be elected as the President by the Board of Directors. The President shall represent the Society.
Section 13 Duties and privileges of the Board of Directors:
1) To convene a General Assembly.
2) To approve the qualification of applicants.
3) To elect or to recall the Executive Director(s), and, the President.
4) To approve the resignation of the Director(s), Executive Director(s) or the President.
5) To employ or to dismiss assigned personnel.
6) To plan annual projects, reports, the budget and the final statement.
7) To execute other affairs.
Section 14 The Board of Supervisors shall consist of three Super visors and one Alternate Supervisor,
to be elected by the General Assembly. One Executive Supervisor shall be elected
by the Supervisors from their ranks.
Section 15 Duties and privileges of the Board of Supervisors:
1) To supervise the Board of Directors.
2) To audit the final report of the fiscal year.
3) To elect or to recall the Executive Supervisor.
4) To approve the resignation of the Supervisors or the Executive Supervisor.
5) To execute other affairs.
Section 16 Directors and Supervisors of the Society shall serve voluntarily.
Section 17 Directors and Supervisors shall serve a term of two years and may be reelected for consecutive terms.
The President shall be reelected once and will no longer be eligible after two consecutive terms.
Postal voting can be held once every two terms after approval by the Board of Directors and
with prior knowledge of the Ministry of the Interior.
Section 18 Director(s) and Supervisor(s) duties can be terminated, if:
1) qualification for membership is no longer valid.
2) resignation has been approved by the Board of Directors or the Board of Supervisors.
3) membership is recalled or withdrawn.
4) membership is suspended for longer than half a term.
Section 19 A Secretary-General shall be assigned and authorized by the President to transact the affairs of the Society.
Several assigned personnel may be nominated and employed by the President, with the approval of the Board of Directors
and the Ministry of the Interior being informed.
The Secretary-General shall be assigned or discharged only after reporting to and being approved by the Ministry of the Interior.
Section 20 Special commissions, provisional groups or individuals may be appointed by the Board of Directors depending upon the needs of the Society.
Their members may not necessarily be members of the Society.
Section 21 Any member who acts contrary to the Constitution, regulations or decisions of the General Assembly shall be warned or suspended from
membership. Membership may be revoked if the member is prejudicial to the interests of the Society.
Chapter 5: Meetings
Section 22 The General Assembly, either the annual meetings or the extraordinary meetings shall be convened by the Board of Directors with
approval from the superior officials. The annual meeting shall be convened once a year. The extra-ordinary meeting shall be convened when
considered necessary by the Board of Directors, or upon the written advice of the oard of Supervisors,
or when requested by more than one-fifth of the total bona fide members.
Section 23 The President shall preside at meetings of the General Assembly. The chairman of a presidium composed of the Executive Directors
and the Executive Supervisor shall assume the duties of the President in his absence.
Section 24 The President shall preside at joint meetings of the Board of Directors and the Board of Supervisors, which shall be held once every four months.
Extraordinary meetings or joint meetings may be convened if indicated.
Chapter 6: Dues
Section 25 the financial resource of this Society are derived from the following contributions:
1) Membership fees from all society’s members
(1) Application for admission to the Society is NT$1,000.
(2) Annual dues ,NT$1,000.
2) Membership fees for probationary member ,associate member and international members
(1) Admission fees to the Society is NT$1,000.
(2) Annual dues ,NT500.
3) Business fees.
4) Donations from members.
5) Fees derived from requests and petitions.
6) Foundation money and the interest therefrom.
7) Other sources.
Section 26 Membership will become inactive for those whose annual fees are overdue for two consecutive years, and, shall be withdrawn spontaneously for
those whose annual fees are overdue for four consecutive years.
Section 27 One whose membership is withdrawn can resume the privilege of membership after all dues are paid. This rule excludes those who withdraw
their membership for approved reasons.
Section 28 The fiscal year begins on January 1 and ends on December 31 of the same year.
Chapter 7: Appendix
Section 29 In the event of dissolution, the assets of the Society shall be transferred to other organization(s) in accordance with the law.
Section 30 The present Constitution may be submitted to the General Assembly by the Board of Directors for amendment in accordance with the law.
Section 31 The present Constitution shall be carried out upon ratification by the General Assembly, with the Ministry of the Interior being informed
and shall be revised in the same manner.
